01 — LEGAL FORM
Private Limited Liability Company
UAB is one of the most widely used legal forms for conducting commercial activities in Lithuania. It is suitable for small and medium-sized businesses, international projects, trading companies, IT, logistics, manufacturing, consulting and businesses planning further growth or investment.
Foreign individuals and legal entities may establish or participate in a Lithuanian UAB.
Depending on the country of origin and type of document, foreign corporate documents may require certification, Apostille or legalisation, and translation into Lithuanian.
We review the documents before the registration process and advise which formalities apply to the particular case.
A UAB may be established by individuals and/or legal entities, including foreign founders.
If the company has one founder, an Act of Incorporation is prepared. If there are two or more founders, a Founders’ Agreement is concluded.
The company acquires legal personality after registration with the Lithuanian Register of Legal Entities.

Small Partnership
MB is a private limited-liability legal entity designed primarily for small and closely held businesses.
It can be an attractive alternative to UAB for entrepreneurs who require a simpler ownership structure and do not need a traditional share-based company.
MB can be suitable for:
Unlike UAB, the membership structure of an MB has specific statutory requirements.

Individual Enterprise
IĮ is a legal form intended for a business owned by one individual.
This form should be selected only after considering its liability, taxation and management characteristics in comparison with UAB and MB.
One of the most significant differences is the liability structure of an individual enterprise.
For this reason, before establishing an IĮ we recommend an individual assessment of whether this legal form is appropriate for the proposed business.

It is a non-profit legal form generally used for activities serving public interests rather than for distributing profits to owners.

An association is a non-profit membership-based legal entity generally established to coordinate the activities of its members, represent their interests and pursue objectives defined in its articles.
It can be appropriate where several persons or organisations wish to operate through a common membership organisation rather than a commercial company.

Charity and Support Foundation
A Lithuanian charity and support foundation is a specific non-profit legal form governed by dedicated legislation concerning its establishment, management, activities, reorganisation and termination.
It may be appropriate for projects whose primary purpose is charitable, social, educational, cultural or other public-benefit activity.
Registration of a foundation does not by itself automatically grant every tax, charity or support-related status or benefit. Applicable tax and support rules should be assessed separately.

07 — LEGAL FORM
Establish Your Company’s Presence in Lithuania
A branch enables an existing foreign legal entity to establish a registered organisational presence in Lithuania.
Registrų centras requires the competent body of the foreign legal entity to adopt the establishment decision, branch regulations to be prepared and the branch’s management bodies to be appointed. The branch is considered established upon registration in the Register of Legal Entities.
A branch is connected to the foreign parent legal entity and should not be presented as an independent Lithuanian company equivalent to a UAB.
Foreign companies planning to establish an operational presence in Lithuania without incorporating a separate Lithuanian company.

Representation of a Foreign Company in Lithuania
A representative office provides an existing foreign legal entity with a registered presence for representation-related purposes.
Before proceeding, we analyse what the foreign company actually intends to do in Lithuania and whether a representative office, branch or separate Lithuanian company is the more appropriate structure.
A representative office should not be presented to clients as the same thing as a branch or a Lithuanian UAB.
